Governance
Our firm’s governing body, the Partnership Board (the "Board"), has 11 members (10 elected members and the chief executive officer) who serve three-year terms. No member of Senior Leadership shall serve as an elected member. A maximum of three members can be non-CPAs, but, upon the advice of general counsel, in certain circumstances the number of non-CPAs on the Board can be either lowered or eliminated entirely. In addition, the Board may in some circumstances increase membership to a total of 13 members.
Management
Ed Nusbaum, the chief executive officer, is responsible for managing the firm’s business and making recommendations to the Board. The chief executive officer has significant authority over appointments in that he or she can appoint and remove partners as members of national leadership or establish committees to assist the chief executive in the performance of the chief executive officer’s responsibilities. The chief executive officer can borrow funds on behalf of the firm (with the Board’s approval). The chief executive officer also presides at annual or special meetings of the partners and provides annual financial and settlement statements to the partners. The chief executive officer also presents recommendations to the Board for leadership compensation.
